ClearMessage — Terms & Conditions
Effective date: October 21, 2026
These Terms & Conditions govern the purchase, installation, and use of ClearMessage and the use of ClearMessage content and downloads supplied through our website.
ClearMessage is a product of ROEDA Labs, a division of ROEDA, Inc. (“ROEDA,” “we,” or “us”).
By accepting these terms when purchasing the product or downloading content, you agree to be bound by them. If you accept on behalf of a business or organization, you represent that you have authority to bind that organization.
Purchasers are responsible for providing these terms, installation instructions, and safety warnings to anyone permitted to install or operate the product. Fleet owners and employers must ensure that operators are appropriately authorized and trained.
1
Acceptance and Scope
Product Description and Intended Use
2
ClearMessage is a transparent LED display designed to mount inside a vehicle’s rear window and display selected messages to people behind the vehicle.
ClearMessage’s road-work message library is intended for use by authorized road-work personnel on vehicles authorized for the applicable work activity, while safely parked and stationary at an authorized work location, and only where the equipment and its specific use are permitted.
Employment by a contractor, ownership of a work vehicle, or possession of ClearMessage does not by itself authorize a person to display road-work warnings or direct traffic.
ClearMessage is a supplemental communication accessory. ROEDA does not represent that it is certified, approved, or compliant for use as an official traffic control device, emergency warning device, arrow board, or required safety device. Its installation or use may be subject to requirements governing those devices.
Stationary Use Only
3
THE DISPLAY MUST BE BLANK AND NON-ILLUMINATED WHENEVER THE VEHICLE IS IN MOTION.
Turn off or blank the display before driving, backing, repositioning, or moving within or between work locations. Verify that the display is blank before moving.
Stopping temporarily at a traffic signal, in congestion, or elsewhere during ordinary travel does not qualify as authorized stationary use.
Select, activate, change, or troubleshoot messages only while safely parked. Never interact with the application, tablet, controller, or display while driving.
Do not assume that closing the application, disconnecting the tablet, or switching off the tablet will stop content already playing on the display. Follow the product instructions and verify the actual display state.
Nothing in these terms authorizes parking or stopping in an unsafe or prohibited location. Work-zone positioning must comply with applicable authorization, procedures, and traffic control plans.
Preloaded and Downloadable Content
4
These terms apply to all messages, graphics, symbols, playlists, templates, and other display content supplied by ROEDA, whether:
Preloaded onto a tablet, controller, or display;
Downloaded from our website; or
Supplied through an update, replacement, or another distribution method.
Content is provided as a library for operators to evaluate for their authorized activities. Inclusion in the library does not constitute government approval, authorization to use the equipment, or a determination that a message is appropriate for a particular location or situation.
Operator Responsibility For Messages
5
The operator is responsible for determining whether each message is lawful, accurate, necessary, timely, and appropriate for the actual conditions.
Before activating a message, the operator must verify that:
The condition described exists and applies to the traffic viewing the display;
The vehicle’s location and orientation make the message appropriate;
The message is consistent with existing signs, signals, lane restrictions, authorized instructions, and any applicable traffic control plan;
The message does not create a conflicting, misleading, ambiguous, or unsafe instruction; and
All required permissions and approvals have been obtained.
Messages involving arrows, lane closures, merging, passing, stopping, or other directions to traffic may be used only when specifically authorized for the applicable operation and consistent with the governing traffic control plan.
The operator must monitor conditions and promptly change or deactivate a message when it becomes inaccurate, unnecessary, unauthorized, or potentially confusing. Do not leave an active display unattended unless that use is permitted by the responsible authority and an authorized person remains responsible for monitoring it.
If the operator cannot confirm that a message is appropriate and authorized, the display must remain blank.
These responsibilities apply to ROEDA-supplied content and to any content created, modified, or obtained by the user.
Compliance With Laws and Required Approvals
6
The purchaser and operator are responsible for verifying that installation and use comply with all applicable federal, state, county, municipal, and other local requirements.
Requirements may govern vehicle equipment, window visibility, illuminated displays, colors, brightness, flashing or animation, roadside work, sign placement, and traffic control. Rules may differ by vehicle type, roadway, work activity, and jurisdiction.
Before installation or operation, determine whether approval is required from the roadway owner, transportation agency, municipality, employer, work-zone supervisor, or other authority having jurisdiction, and obtain any required approval.
Permission to conduct road work, operate a vehicle, or use other warning equipment does not necessarily authorize ClearMessage. Stationary operation and use of ROEDA-supplied content do not independently establish legality.
ROEDA does not obtain these permissions for users, provide legal advice, or guarantee that the product or any particular message may lawfully be used in a particular jurisdiction.
The purchaser and operator are responsible for fines, citations, penalties, inspection failures, and other consequences to the extent resulting from their unlawful installation or use.
Required Safety Equipment and Procedures
7
ClearMessage must never replace required safety equipment, trained personnel, or established procedures, including:
Required vehicle warning lights, beacons, hazard flashers, and conspicuity markings;
Signs, arrow boards, changeable message signs, cones, barriers, triangles, and other warning devices;
High-visibility apparel and personal protective equipment;
Required traffic control plans and authorized flagging operations; and
Safe vehicle positioning, work-zone practices, and employer safety procedures.
ROEDA does not guarantee that ClearMessage prevents collisions or injuries, improves safety outcomes, or causes drivers to slow down, stop, merge, or move over.
Other drivers may not see, read, understand, or respond appropriately to a message. Continue to follow all required procedures and precautions regardless of whether the display is operating.
Safe Operation and Prohibited Uses
8
The purchaser and operator must:
Preserve legally required visibility through windows and mirrors;
Keep the display clear of brake lights, required lighting, license plates, and other required equipment;
Adjust brightness for conditions and stop use if the display creates glare, distraction, or impaired visibility;
Follow applicable restrictions on colors, flashing, animation, scrolling, and message changes; and
Deactivate the display whenever its use could create confusion or an unsafe condition.
You must not use ClearMessage to:
Impersonate law enforcement, emergency responders, government personnel, or another authorized role;
Direct traffic without the required authority;
Display false hazards, inaccurate warnings, or instructions inconsistent with an authorized traffic control plan;
Display threatening, harassing, unlawful, or intentionally distracting content;
Advertise in violation of applicable laws; or
Operate contrary to these terms, product instructions, or applicable law.
Unauthorized modifications, repairs, wiring changes, or combinations with other equipment are prohibited where they compromise safety or violate product instructions. Resulting damage may be excluded from warranty coverage to the extent permitted by law.
Stop using the product if it flickers, overheats, detaches, displays unexpected content, or otherwise malfunctions. Safely disconnect power where appropriate and contact ROEDA.
Installation, Vehicle Suitability, and Maintenance
9
Follow the supplied installation, electrical, mounting, and maintenance instructions. Confirm that the product is suitable for the vehicle and mounting location before installation.
Secure the display and all components against movement or detachment. Route wiring away from vehicle controls, airbags, occupants, and other safety systems.
Check compatibility with glass, tint, defroster grids, heating elements, antennas, and window curvature. Do not install where the product could damage these features or violate visibility or equipment requirements.
Inspect the mounting system, wiring, power supply, and display before each use and at the intervals specified in the instructions. Do not use damaged or unsecured equipment.
The purchaser and operator are responsible for damage to the extent caused by improper installation, removal, modification, incompatible equipment, or failure to follow maintenance instructions. This provision does not exclude liability that cannot lawfully be excluded.
Third-Party Applications and Optional Tablet
10
ClearMessage may use applications and components developed or supplied by third parties. Their use may be subject to separate license terms and privacy policies.
ROEDA may offer an optional tablet preloaded with an application and message content. This does not mean that ROEDA developed or controls the third-party application.
Third-party features, compatibility, updates, connectivity, and availability may change. Unless expressly stated in a written agreement or warranty, ROEDA does not promise continuous third-party service or compatibility with every device or software version.
If an application permits custom content or configuration changes, that capability does not authorize uses prohibited by these terms or applicable law.
Operators must verify that the intended message is actually displayed and must not rely solely on the tablet or application preview. If a malfunction prevents reliable control, stop use and safely turn off the display.
Responsibility for Misuse and Assumption of Risk
11
Working on or near roadways involves risks, including collision, injury, death, and property damage.
You acknowledge these risks and are responsible for your decisions concerning installation, positioning, configuration, message selection, monitoring, and operation.
To the fullest extent permitted by law, you are responsible for losses and claims to the extent caused by your negligent, unlawful, or unauthorized use, including:
Displaying a message that does not apply to actual conditions;
Displaying conflicting, misleading, or unauthorized instructions;
Leaving a message active after conditions change;
Displaying content while the vehicle moves;
Failing to obtain required approvals; or
Failing to follow installation instructions or required safety procedures.
These responsibilities apply even when ROEDA supplied or preloaded the message. They do not transfer liability that applicable law requires ROEDA to retain.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROEDA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR DOWNTIME, ARISING FROM THE PRODUCT OR SUPPLIED CONTENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROEDA’S AGGREGATE LIABILITY ARISING FROM THE PRODUCT OR SUPPLIED CONTENT WILL NOT EXCEED THE AMOUNT PAID TO ROEDA FOR THE PRODUCT OR CONTENT GIVING RISE TO THE CLAIM.
These limitations apply only where lawful. They do not exclude or limit liability for fraud, willful misconduct, or any injury, product defect, conduct, or obligation for which liability cannot lawfully be excluded or limited. Some jurisdictions do not permit certain limitations, so those limitations may not apply to you.
12
Limitation of Liability
Third-Party Claims and Indemnification
13
To the fullest extent permitted by law, you agree to indemnify and hold harmless ROEDA, Inc., its ROEDA Labs division, and their officers, directors, and employees from third-party claims, damages, and reasonable costs, including reasonable attorneys’ fees, to the extent caused by:
Your negligent or unlawful installation or operation;
Your inappropriate selection or continued display of a message;
Your unauthorized modification of the product or content; or
Your violation of these terms or applicable law.
This obligation does not apply to the extent a claim is caused by ROEDA’s negligence, a product defect for which ROEDA is legally responsible, or other liability that applicable law does not permit to be transferred.
ROEDA will provide reasonable notice of a claim for which it seeks indemnification and reasonably cooperate in its defense. No settlement may impose an admission, payment, or continuing obligation on ROEDA without its written consent, which will not be unreasonably withheld.
Any written limited warranty supplied with the product governs the coverage expressly described in that warranty. Nothing in these terms reduces rights provided by that warranty or by applicable law.
EXCEPT AS EXPRESSLY PROVIDED IN AN APPLICABLE WRITTEN WARRANTY OR REQUIRED BY LAW, ROEDA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE EXTENT SUCH DISCLAIMERS ARE LAWFUL.
Where a written warranty or applicable law prohibits disclaiming implied warranties, those warranties remain in effect. Any permitted limitation of their duration must be stated in the applicable written warranty.
Subject to enforceable express warranties and applicable law, ROEDA does not guarantee authorization for a particular roadway use, suitability of a message for a particular situation, uninterrupted operation, visibility at every distance, or performance in every weather or lighting condition.
14
Warranties
Orders, Pricing, Delivery, and Returns
15
Prices and availability may change before an order is accepted. ROEDA may correct errors and, subject to applicable law, decline or cancel an affected order. Payments for canceled orders will be refunded.
Accepted orders are governed by the specifications, delivery terms, return policy, and warranty terms disclosed and agreed to at purchase. Changes to future products do not automatically change an accepted order.
Applicable taxes and disclosed shipping charges are the purchaser’s responsibility. Any transfer of risk of loss will be governed by the agreed delivery terms and applicable law.
Return and warranty policies will be made available before purchase. Optional tablets and accessories are subject to the applicable policies disclosed for those items.
Intellectual Property and Content License
16
ROEDA retains its rights in ClearMessage branding, ROEDA-created message files, graphics, instructions, and website content. Third-party materials remain the property of their respective owners. ROEDA does not claim exclusive ownership of public-domain symbols, standard traffic terminology, or government materials.
Subject to these terms and any content-specific restrictions, ROEDA grants you a limited, nonexclusive license to download, copy to your authorized equipment, and display ROEDA-supplied message files for permitted ClearMessage use.
You may provide those files and instructions to your authorized operators for that purpose. You may not resell the library, distribute it as a competing product, or use ROEDA’s branding to imply government approval or endorsement.
Changes to Terms and Safety Notices
17
We may revise these terms for future purchases and downloads. Revised terms will identify their effective date.
Changes will not retroactively alter an existing purchase agreement or accrued rights. Where additional acceptance is required, we will request it.
We may separately issue updated instructions, safety notices, content corrections, or recall information. Follow applicable safety instructions and discontinue affected use when instructed.
Governing Law and General Provisions
18
These terms are governed by Illinois law, without regard to conflict-of-laws principles, except where applicable law requires otherwise.
To the extent permitted by law, disputes will be brought in the state courts located in Cook County, Illinois, or the federal court having jurisdiction there. This provision does not restrict non-waivable consumer rights or mandatory jurisdiction requirements.
If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.
Nothing in these terms excludes or limits any right, remedy, warranty, or liability that cannot lawfully be excluded or limited.
